1. Definitions

"Sporting Sites Worldwide Ltd" is an interactive on-line service operated on the World Wide Web of the Internet, consisting of information services and content provided by Sporting Sites Worldwide Ltd, its affiliates and other third parties. "User" means each person who establishes or accesses a connection ("Account") for access to and use of Sporting Sites Worldwide Ltd.

Napckecker.com is a wholly owned trading brand name and websites of Sporting Sites Worldwide Ltd.

2. General

(a) This Agreement sets forth the terms and conditions that apply to the use of Sporting Sites Worldwide Ltd by User. By using Sporting Sites Worldwide Ltd (other than to read this Agreement for the first time), User agrees to comply with all of the terms and conditions hereof. The right to use Sporting Sites Worldwide Ltd site is personal to User's Account (under any screen name or password). User shall be responsible for protecting the confidentiality of User's password(s), if any. As a result, User is fully responsible for all actions undertaken under the password(s).

(b) Sporting Sites Worldwide Ltd shall have the right at any time to change or discontinue any aspect or feature of Sporting Sites Worldwide Ltd websites, including, but not limited to, content, hours of availability, and equipment needed for access or use.

3. Changed Terms

Sporting Sites Worldwide Ltd shall have the right at any time to change or modify the terms and conditions applicable to User's use of Sporting Sites Worldwide Ltd websites, or any part thereof, or to impose new conditions, including, but not limited to, increasing/decreasing subscription fees and charges for use. Such changes, modifications, additions or deletions shall be effective immediately upon notice thereof, which may be given by means including, but not limited to, posting on Sporting Sites Worldwide Ltd websites, or by electronic or conventional mail, or by any other means by which User obtains notice thereof. Any use of Sporting Sites Worldwide Ltd websites by User after such notice shall be deemed to constitute acceptance by User of such changes, modifications or additions.

4. User Conduct

(a) User shall use Sporting Sites Worldwide Ltd websites for lawful purposes only. User shall not post or transmit through Sporting Sites Worldwide Ltd any material which violates or infringes in any way upon the rights of others, which is unlawful, threatening, abusive, defamatory, invasive of privacy or publicity rights, vulgar, obscene, profane or otherwise objectionable, which encourages conduct that would constitute a criminal offence, give rise to civil liability or otherwise violate any law, or which, without Sporting Sites Worldwide Ltd express prior approval, contains advertising or any solicitation with respect to products or services. Any conduct by a User that in Sporting Sites Worldwide Ltd absolute discretion restricts or inhibits any other User from using or enjoying Sporting Sites Worldwide Ltd will not be permitted. User shall not use Sporting Sites Worldwide Ltd to advertise or perform any commercial solicitation, including, but not limited to, the solicitation of users to become Users of other on-line or off-line information services competitive with Sporting Sites Worldwide Ltd.

(b) Sporting Sites Worldwide Ltd contains copyright material, trademarks and other proprietary information, including, but not limited to, text, software, photos and sound, and the entire contents of Sporting Sites Worldwide Ltd is owned by Sporting Sites Worldwide Ltd, its affiliates or licensors and is protected by copyright and trade mark laws. User may not copy, modify, reproduce, republish, transmit, distribute, or in any way exploit, any of the content, in whole or in part without the express written permission of Sporting Sites Worldwide Ltd and the copyright owner. User is only authorised to use the web site and its content for personal, non-commercial use. In the event of any permitted copying, redistribution or publication of copyright material, no changes in or deletion of author attribution, trademark legend or copyright notice shall be made. User acknowledges that it does not acquire any ownership rights by downloading copyrighted material.

(c) User shall not upload, post or otherwise make available on Sporting Sites Worldwide Ltd any material protected by copyright, trademark or other proprietary right without the express permission of the owner of the copyright, trademark or other proprietary right and the burden of determining that any material is not protected by copyright rests with User. User shall be solely liable for any damage resulting from any infringement of copyrights, proprietary rights, or any other harm resulting from such a submission. By submitting material to any public area of Sporting Sites Worldwide Ltd, User automatically grants, or warrants that the owner of such material has expressly granted Sporting Sites Worldwide Ltd the royalty-free, perpetual, irrevocable, non-exclusive right and unrestricted licence to copy, sublicense, adapt, publish, translate and distribute such material (in whole or in part) worldwide and/or to incorporate it in other works in any form, media or technology now known or hereafter developed for the full term of any copyright that may exist in such material. User also permits any other User to access, view, store or reproduce the material for that User's personal use. User hereby grants Sporting Sites Worldwide Ltd the right to edit, copy, publish and distribute any material made available on Sporting

Sites Worldwide Ltd by User.

(d) The foregoing provisions of Section 4 are for the benefit of Sporting Sites Worldwide Ltd, its subsidiaries, affiliates and its third party content providers and licensors and each shall have the right to assert and enforce such provisions directly or on its own behalf.

5. Disclaimer of Warranty; Limitation of Liability

(a) User expressly agrees that use of Sporting Sites Worldwide Ltd is at User's sole risk. Neither Sporting Sites Worldwide Ltd, its affiliates nor any of their respective employees, agents, third party content providers or licensors warrant that Sporting Sites Worldwide Ltd will be uninterrupted or error free; nor do they make any warranty as to the results that may be obtained from use of Sporting Sites Worldwide Ltd, or as to the accuracy, reliability or content of any information, service, or merchandise provided through Sporting Sites Worldwide Ltd.

(b) Sporting Sites Worldwide Ltd is provided on an "as is" basis without warranties of any kind, either express or implied, including, but not limited to, warranties of title or implied warranties of quality or suitability for a particular purpose, other than those warranties which are implied by and incapable of exclusion, restriction or modification under the laws applicable to this agreement.

(c) This disclaimer of liability applies to any damages or injury caused by any failure of performance, error, omission, interruption, deletions, defect, delay in operation or transmission, computer virus, communication line failure, theft or distribution or unauthorised access to, alteration of, or use of record, whether for breach of contract, tortuous behaviour, negligence, or under any other cause of action. User specifically acknowledges that Sporting Sites Worldwide Ltd is not liable for the defamatory, offensive or illegal conduct of other users or third-parties and that the risk of injury from the foregoing rests entirely with User.

(d) Sporting Sites Worldwide Ltd does not limit its liability for death or personal injury arising from its negligence or from the negligence of its employees acting in the course of their employment. Apart from this, in no event will Sporting Sites Worldwide Ltd, or any person or entity involved in creating, producing or distributing Sporting Sites Worldwide Ltd, be liable for any damages, including, without limitation, direct or consequential damages arising out of the use of or inability to use Sporting Sites Worldwide Ltd. User hereby acknowledges that the provisions of the section shall apply to all content on Sporting Sites Worldwide Ltd.

(e) In addition to the terms set forth above neither Sporting Sites Worldwide Ltd nor its affiliates, information providers or content partners shall be liable regardless of the cause or duration, for any errors, inaccuracies, omissions, or other defects in, or un-timeliness of, or un-authenticity of, the information contained within Sporting Sites Worldwide Ltd, or for any delay or interruption to the transmission thereof to the User, or from any claims or losses arising there from or occasioned thereby. None of the foregoing parties shall be liable for any third-party claims or losses of any nature, including, but not limited to, lost profits, punitive or consequential damages. Neither Sporting Sites Worldwide Ltd, nor its affiliates, information providers or content partners warrant or guarantee the timeliness, sequence, accuracy or completeness of this information. Additionally, there are no warranties as to the results obtained from the use of the information.

(f) This web site may be linked to or from other web websites that are not maintained by Sporting Sites Worldwide Ltd. Sporting Sites Worldwide Ltd does not control in any respect any information, products or services offered by such other web websites and shall not be responsible for the content of such other web websites. For example, User may be able to buy goods or services via Sporting Sites Worldwide Ltd, some of which may be through third party retailers who link to the web site. User may also enter into correspondence with or participate in promotions of advertisers on Sporting Sites Worldwide Ltd. Sporting Sites Worldwide Ltd in no way endorses these third parties and any such transactions, dealings, correspondence with or payment for goods and services and any other terms, conditions, warranties or representations associated with such matters are solely between corresponding User and the third party. Sporting Sites Worldwide Ltd assumes no liability, obligation or responsibility for any part of any such transaction, dealing, correspondence or participation.

6. Monitoring

Sporting Sites Worldwide Ltd shall have the right, but not the obligation, to monitor the content of Sporting Sites Worldwide Ltd, including community areas, to determine compliance with the Agreement and any operating rules established by Sporting Sites Worldwide Ltd and to satisfy any law, regulation or authorised government request. Sporting Sites Worldwide Ltd shall have the right in its sole discretion to edit, refuse to post or remove any material submitted to or posted on Sporting Sites Worldwide Ltd. Without limiting the foregoing, Sporting Sites Worldwide Ltd shall have the right to remove any material that Sporting Sites Worldwide Ltd, in its sole discretion, finds to be in violation of the provisions hereof or otherwise objectionable.

7. Indemnification

User agrees to defend, indemnify and hold harmless Sporting Sites Worldwide Ltd, its affiliates, licensors and their respective directors, officers, employees and agents from and against all claims and expenses, including legal fees, arising out of the use of Sporting Sites Worldwide Ltd by User or User's Account.

8. Termination

Either Sporting Sites Worldwide Ltd or User may terminate this Agreement at any time. Without limiting the foregoing, Sporting Sites Worldwide Ltd shall have the right immediately to terminate User's Account in the event of any conduct by User which Sporting Sites Worldwide Ltd, in its sole discretion, considers to be unacceptable, or in the event of any breach by User of this Agreement. The provisions of Sections 4(b), 4(c), 4(d), 5, 7, 9 and this Section 8 shall survive termination of this Agreement.

9. Trademarks

Sporting Sites Worldwide Ltd and all logos are trademarks of Sporting Sites Worldwide Ltd. All rights reserved. All other trademarks appearing on Sporting Sites Worldwide Ltd are the property of their respective owners.

10. Miscellaneous

This Agreement and any operating rules for Sporting Sites Worldwide Ltd established by Sporting Sites Worldwide Ltd constitute the entire agreement of the parties with respect to the subject matter hereof, and supersede all previous written oral agreements between the parties with respect to such subject matter. This Agreement is governed by and construed in accordance with the laws of England and Wales and the parties submit to the exclusive jurisdiction of the English Courts. If any provision(s) of the Service Agreement is held by a court of competent jurisdiction to be invalid or unenforceable, then such provision(s) shall be construed, as nearly as possible, to reflect the intentions of the parties with the other provisions remaining in full force and effect. Sporting Sites Worldwide Ltd failure to exercise or enforce any right or provision of the Service Agreement shall not constitute a waiver of such right or provision unless acknowledged and agreed by Sporting Sites Worldwide Ltd in writing. The section headings used herein are for convenience only and shall not be give any legal import.

11. Registration

In order to use this Site, you must first register via the 'Registration' process. During registration you are required to give contact information (such as a name, address and an email address) which will identify you personally. We use this information to contact you about services on our Site for which you have expressed an interest. We will issue unique identifiers (such as, username/email and password) and email them to you once registration is complete. We may also store a copy of the IP address of the computer you use for registration to protect our customers from fraudulent activity or use other relevant technology and data to identify customers.

12. Information Use and Policies on Information

We use your Internet Protocol (IP) address and other data we may choose to collect to help diagnose problems with our server, and to administer our website. When subscribing, or logging into our secure server, your IP address is tracked against your customer ID for the dual purposes of preventing fraud and creating an audit trail.

13. Cookies

This site uses cookies (small text files stored on your computer) to provide various features. We use cookies for various features on our website, including login processing, country selection, cookie-message display and visitor analysis (including Google Analytics). 14. Log Files

We use log files to record the use visitors make of our Site. This includes internet protocol (IP) addresses, browser type, internet service provider (ISP), referring/exit pages, platform type, date/time stamp, and number of clicks. This information is used to analyse trends, administer ‘The Site’, track customer's movement and gather broad demographic information for aggregate use. Log files are not used in themselves to collect personally identify information about Special Promotions, news and updates to ‘The Site’. We may also use information such as email addresses to alert our customers of special promotions that we may be running or to inform of any news or changes that might affect ‘The Site’ experience.

15. Communications from ‘The Site’: Special Offers and Updates

We send all newly registered members a welcoming email to verify username/email. Established registered members will occasionally receive information on services and special deals. Should you not wish to receive such communications, you can log into your account and click unsubscribe.

16. Service Announcements

On rare occasions it is necessary to send out a strictly service related announcement. For instance, if our service is temporarily suspended for maintenance we might send customers an email. Customers may not opt-out of these communications.

17. Who has access to your Information?

‘The Site’ will neither rent, sell, nor make available your personal information to any third party unrelated to it, other than where we believe that the law requires it (for example where such action is necessary to comply with a current judicial proceeding, a court order or legal process served on our Site) or where we have sought and been given your specific permission to do so.

19. Third Party Intermediaries

SSW may share your information as required to Police or other legal authorities who may legal requests for access to information. In addition when conducting payment transactions certain information may be shared.

20. Business Transitions

In the event ‘The Site’ goes through a business transition, such as a merger, being acquired by another company, or selling a portion of its assets, customers' personal information will, in most instances, be part of the assets transferred. Customers will be notified via email prior to a change of ownership or control of their personal information in order to obtain the consent to such transfer.

21. Links to Third Party Sites

This Site contains links to other web sites. Please be aware that we ‘The Site’ are not responsible for the privacy practices of such web sites. We encourage our customers to be aware when they leave our Site and to read the privacy statements of each and every web site that collects personally identifiable information about them. This privacy statement applies solely to information collected by this Site.

22. Surveys and competitions

On occasion, we may request certain information from customers to allow them to participate in surveys or competitions. Participation in these surveys or competitions is completely voluntary and you have a choice therefore whether or not to disclose the requested information. Such information typically includes contact information (such as name), and demographic information (such as post code). Contact information will be used and shared with the competition sponsors to notify the winners and award prizes. Anonymous survey information will be used for the purposes of monitoring or improving the use and satisfaction of our customers with this Site. We will not share any information that identifies you personally with any third parties unless we have obtained your prior consent. Although we may use an intermediary to conduct these surveys or competitions, they may not use your personally identifiable information for any secondary purposes

23. Customers 18 and Under

We will not intentionally collect any information about visitors to this Site who are under eighteen (18) years of age. We specifically instruct those who are under eighteen (18) years of age not to submit information to this Site under any circumstances.

24. Security of your Information

We take every reasonable precaution to protect and prevent the loss, misuse or alteration of information that you provide to us. When you submit information via our Site, your information is protected both online and off-line. 25. The Data Protection Act 1998

Under the Data Protection Act 2018 (UK legislation) we have a legal duty to protect any information we collect from you. We use leading technologies and encryption software to safeguard your information, and maintain strict security standards and policies in order to prevent any unauthorized access to or use of it.

26. Correcting/Updating/Deleting/Deactivating Personal Information

If a customer's personally identifiable information changes (such as post code, phone, email or postal address), or if a customer no longer desires our service, we provide a way to correct, update or delete/deactivate customers' personally identifiable information. This can usually be done at the Customer Account Details page or using our online feedback form

27. Notification of Changes

If we decide to change our privacy practices, we will post those changes to this Privacy Statement, the homepage, and other places we deem appropriate so our customers are always aware of what information we collect, how we use it, and under what circumstances, if any, we disclose it. We will use information in accordance with the Privacy Statement current at the time the information was collected. If, however, we are going to use your personally identifiable information in a manner different from that stated at the time of collection, we will notify you via email. You will have a choice as to whether or not we use your information in this different manner. However, if you have opted out of all communication with ‘The Site’, or deleted/deactivated your account, then you will not be contacted, nor will your personal information be used in this new manner. In addition, if we make any material changes in our privacy practices, even where they do not affect customer information already stored in our database, we will post a prominent notice on our Site notifying customers of the change. In some cases where we post a notice we will also email customers, who have opted to receive communications from us, notifying them of the changes in our privacy practices.

28. Events beyond our control

‘The Site’ will not be responsible for any breach of these Terms caused by circumstances beyond its control.

29. Applicable Laws

The Terms are governed by the laws of England and the parties submit to the exclusive jurisdiction of the English Courts.

30. Subscriptions

Sporting Sites Worldwide charges for access to data before a specified time point. This time point may vary from time to time but will also be notified to new and existing subscribers prior to the new time point becoming active. Sporting Sites does not guarantee to have data available on the site at any time, whether this is within the subscription period of time or the free access of time. It may advise of a ‘best endeavours’ time but for the avoidance of doubt this does not in any way guarantee the time at which data will become available or even if any data will be available that day.

No refunds will given for any days on which data is either not available at all or on which data is not available until a time after the ‘best endeavours’ time quoted.

31. Newspaper covered in the service

The Napchecker services covers tips from a range of UK and Irish newspapers. The range of newspaper covered may change at any time and without notice. Sporting Sites Worldwide Ltd. at no time guarantee coverage of tips from any newspaper or specific tipsters. The subscription paid to the site is for the avoidance of any doubt not based on guaranteeing access to any specific newspaper or tipster information.
